## 1. About These Terms

These Terms of Service (the **Terms**) govern your use of the Sleep Design Beds LTD website and your purchase or use of our products and services.

The website and ecommerce services are operated by:

The website is hosted by Shopify, which provides the ecommerce platform used to offer products and services to you.

By using the website, creating an account, requesting a trade-price viewing code, applying for a trade account, requesting a quotation or placing an order, you agree to these Terms and any policies expressly incorporated into them.

Please read these Terms before placing an order. You should save or print a copy for your records.

## 2. Consumers and Business Customers

Some provisions differ depending on whether you are a consumer or a business customer.

A **consumer** is an individual acting wholly or mainly outside their trade, business, craft or profession.

A **business customer** is a person or organisation acting for purposes relating to their trade, business, craft or profession. This includes approved trade and wholesale customers.

If you are placing an order for an organisation, you confirm that you have authority to bind that organisation.

Nothing in these Terms excludes or limits a consumer's statutory rights. If a provision conflicts with a right that cannot legally be excluded, the statutory right will take priority.

## 3. Other Policies Forming Part of These Terms

The following policies, as applicable, form part of these Terms:

- Returns and Refund Policy.
- Shipping and Delivery Policy.
- Warranty and Product Guarantee.
- Privacy Policy.
- Cookie Policy.
- Any product-specific, quotation or promotional terms shown before an order is placed.

Where specific written terms in an accepted quotation or product listing conflict with these general Terms, the specific terms will apply to that issue, except where doing so would unlawfully restrict a consumer's rights.

## 4. Using the Website

You may use the website only for lawful purposes. You must not:

- Use the website fraudulently or in a way that breaks applicable law.
- Attempt to obtain unauthorised access to an account, viewing code, protected trade-pricing area, system, database or other restricted feature.
- Introduce viruses, malicious code or harmful technology.
- Scrape, harvest, copy or extract protected pricing, product data or account information using automated means without our written permission.
- Interfere with the operation, security or availability of the website.
- Impersonate another person or misrepresent your authority to act for a business.
- Use another person's account, authentication code or trade-price viewing code without authority.
- Reproduce or commercially exploit website content, trade pricing or protected material without permission.

We may restrict or suspend website access where reasonably necessary to protect customers, our business, our systems or our legal rights.

## 5. Website Information and Availability

We take reasonable care to keep website information accurate and current. However, website content may occasionally contain errors, omissions or outdated information.

Images are provided to help illustrate products. Colours and textures can appear different because of screens, lighting, photography, fabric batches and natural material variation. Handmade and upholstered products may have minor reasonable differences in finish, stitching, dimensions or appearance. These statements do not permit us to supply goods that fail to match their description or quality requirements under applicable law.

Products, features and website access may be changed, suspended or withdrawn. We do not guarantee that the website will always be uninterrupted or error-free.

## 6. Product Information

You are responsible for checking the product description, measurements, options, quantities, access requirements and suitability before ordering.

Where suitability depends on information supplied by you, such as room access, dimensions, intended use, required quantity or a requested specification, you must provide complete and accurate information.

Any important tolerance, material, fire-safety classification, weight limit, care requirement, assembly requirement or commercial-use restriction will be stated in the relevant product information or quotation where applicable.

Goods supplied to consumers must be as described, of satisfactory quality and fit for a purpose made known to us where the law requires. Goods supplied to business customers are subject to the applicable contractual description and any rights that cannot lawfully be excluded.

## 7. Prices and VAT

Prices may change at any time, but a change will not affect an order that we have already accepted unless you agree to the change or the change is legally required.

Prices displayed on our website for retail, trade and business customers are VAT-inclusive unless we expressly state otherwise in a written quotation or order-specific agreement.

Where products are offered to consumers, the VAT-inclusive price and other unavoidable charges will be made clear before the consumer places the order.

Delivery, collection, installation, assembly or other charges are not included unless expressly stated. Available charges will be shown at checkout or confirmed in a written quotation before payment.

If a price, VAT amount, discount or product description contains an obvious error, we may reject or cancel the affected order before supply. We will explain the issue and refund any amount paid. Where appropriate, we may offer the opportunity to order at the correct price.

## 8. Placing an Order

The website will allow you to review and correct your order before submitting it. You are responsible for checking the order carefully.

Submitting an order is an offer to purchase the selected products on these Terms. An automated order acknowledgement confirms that we received the order; it does not necessarily mean that we have accepted it.

A contract is formed when we send an email expressly accepting the order, confirm that the order is being prepared for dispatch or collection, or dispatch the goods, whichever occurs first.

We may refuse or cancel an order before acceptance for reasons including:

- A product is unavailable.
- We cannot authorise or verify payment.
- We cannot deliver to the address or satisfy the access requirements.
- A price, tax, discount, stock or product-information error is identified.
- We reasonably suspect fraud, misuse, resale outside agreed terms or an unauthorised account.
- A trade-order requirement has not been satisfied.
- The order would breach law, regulation or a restriction applying to the goods.

If we cannot accept an order, we will notify you and refund any payment taken for that order.

## 9. Payment

Unless we expressly agree otherwise in writing, full payment is required at checkout before an order is processed.

We do not offer credit terms as standard. A request for credit terms will be considered separately and is not accepted unless confirmed in writing by an authorised representative of Sleep Design Beds LTD.

Payment must be made using a payment method offered at checkout or through an authorised secure payment link. You must not send complete payment-card details by email or an unsecure channel.

Klarna Pay in 3 and Clearpay Pay in 4 may be shown as payment options for eligible retail purchases. Eligibility, approval and use of those services are subject to the relevant payment provider's terms and checks. Their availability is not guaranteed for every customer, product or order.

Klarna and Clearpay are not presented as standard trade-account payment methods. Approved trade customers must use the payment methods made available to their account during the trade checkout journey, unless we agree another method in writing.

We may delay production, dispatch or collection until cleared payment is received.

## 10. Customer and Company Accounts

You must provide accurate, current and complete account information and keep it updated.

You are responsible for protecting access to the email account used to sign in and for not sharing authentication codes with unauthorised people.

We may suspend or restrict an account where reasonably necessary for security, suspected fraud, non-payment, misuse, a breach of these Terms, legal compliance or protection of our systems and commercial information.

Where a trade account is suspended, we will normally notify the account contact and explain how to contact us. We are not required to disclose confidential fraud-prevention methods, security controls or information that could compromise another person or an investigation.

Approved trade accounts may be reviewed after 12 months without an order. A review does not automatically delete historical orders or records that we must retain.

## 11. Trade-Account Applications

Any eligible person or organisation may apply for a trade account, but submitting an application does not guarantee approval.

We may verify information supplied in an application using Companies House, public business information, identity or fraud-prevention checks and direct contact with the applicant.

We may approve or reject an application using reasonable commercial, eligibility, security and risk considerations. Significant approval, rejection and suspension decisions are subject to human review.

An approved account gives access only to the permissions and pricing assigned to that account. It does not create a right to credit, guaranteed stock, fixed future prices or acceptance of every order.

## 12. Trade and Wholesale Minimum Quantity

Unless a written quotation states otherwise, online trade and wholesale ordering requires at least **20 qualifying units in one order**.

The qualifying categories are:

- Beds.
- Mattresses.
- Bases.

Qualifying beds, mattresses and bases may be **mixed within the same order** to reach the 20-unit minimum.

Headboards, accessories and products outside those categories do not count towards the 20-unit minimum unless we expressly confirm otherwise in writing.

An item may count as one qualifying unit where stated in the product or quotation information. Sets, bundles, components and linked items will count as stated before the order is accepted.

If a cancellation, amendment, stock issue or other change reduces an order below 20 qualifying units before delivery, we will pause and review the order.

Unless we agree another price in writing, the proposed replacement price for each remaining item will be its current retail price less **£5 per item**. No £5 reduction will be applied to an item whose retail price is below **£30**.

We will tell you the revised price and obtain agreement before continuing. If the revised price is not accepted, the affected order or items may be cancelled and any refund due will be handled in accordance with the contract and applicable law. Nothing in this clause removes a consumer's statutory rights.

Trade pricing cannot be combined with retail discount codes, consumer promotions or another offer unless the relevant offer expressly permits it.

## 13. Trade-Price Viewing Codes

A trade-price viewing code provides temporary, view-only access to a trade-price preview. It does not:

- Approve a trade account.
- Create a customer or company account.
- Guarantee the displayed price, stock or availability.
- Allow wholesale ordering.
- Create a contract or quotation.

Viewing codes normally expire seven days after creation. A new code may revoke an earlier active code associated with the same business email address.

You must not sell, publish, share or distribute a viewing code to an unauthorised person. We may revoke a code or block access where we reasonably suspect misuse, automated attempts or a security risk.

Preview information may change before an account is approved or an order is accepted.

The secure viewing-code journey is separate from approved Shopify B2B catalogue access. A viewing code does not unlock checkout, add-to-cart functionality or an approved trade account.

## 14. Special Prices and Large-Order Quotations

Orders exceeding 20 units may be considered for a separate discounted price, but a discount is not automatic.

Where we provide a special quotation, it will normally be created as a Shopify Draft Order or another written quotation with a secure payment link.

Unless the quotation states otherwise:

- It is valid for **24 hours**.
- It applies only to the named customer, products, quantities, delivery requirements and destination.
- It cannot be transferred, combined with another offer or reused for a different order.
- Stock is not reserved until the order is accepted and required payment is received.
- The price may be withdrawn after expiry or if product, material, tax, availability, transport or access information was inaccurate or changes before acceptance.

Every accepted quotation should identify the products, quantities, price, VAT, delivery charge, total, expiry and payment method.

Large-order quote requests should be sent to **info@sleepdesignbeds.co.uk**.

## 15. Product Availability and Production

All orders are subject to stock, material, manufacturing and delivery availability.

Any production or delivery period is an estimate unless we expressly agree a fixed date in writing. We will provide updated information where a material delay becomes known.

For consumer orders, we will deliver within 30 days unless a different delivery period has been agreed. A consumer's legal remedies for late delivery remain unaffected.

We may make a minor change to a product where required by law or safety standards, or where the change does not materially affect its description, quality, function or appearance. We will seek agreement before making a material substitution.

## 16. Bespoke, Customised and Made-to-Order Products

A product is not automatically treated as bespoke merely because it is manufactured or assembled after the order is placed.

A product will be treated as customised for cancellation purposes only where it is genuinely made to your specifications or clearly personalised, such as a non-standard size, material, colour, configuration or other accepted option that makes the product specific to your requirements.

We will identify material customisation and any resulting cancellation restriction before accepting the order.

Once production of a genuine bespoke or personalised product has started, changes may not be possible. This does not affect rights relating to faulty, misdescribed or incorrectly supplied goods.

## 17. Retail and Trade Delivery Areas and Charges

Retail and trade orders use different delivery arrangements.

### 17.1 Retail Delivery

Standard retail delivery is **free across the United Kingdom** for retail customers buying through the normal retail journey, unless a product page, quotation or checkout clearly states that a different delivery arrangement applies.

Free retail delivery does not automatically include assembly, installation, room-of-choice delivery, packaging removal, disposal of an old product, timed delivery or another additional service unless that service is expressly included in the order.

Delivery availability remains subject to the product, address, access requirements and any restrictions that are made clear before the order is accepted.

### 17.2 Trade and Wholesale Delivery

Trade and wholesale delivery is currently available to eligible addresses in **England**.

Unless a written quotation states otherwise, the standard trade delivery bands are calculated from the WF17 8HB area using the applicable road-distance band:

- **0–20 miles: Free**
- **Over 20–50 miles: £50**
- **Over 50–100 miles: £75**
- **Over 100 miles: £135**

The stated standard trade delivery charges include VAT.

Very large, multi-vehicle, restricted-access, specialist or otherwise difficult trade deliveries may require a manual quotation even where the address is within a standard distance band.

A standard trade delivery charge applies to one agreed delivery attempt unless expressly stated otherwise.

Trade delivery is not currently offered as a standard online trade-delivery service to Scotland, Wales, Northern Ireland or other destinations outside England. A separate arrangement may be considered only where we expressly agree it in writing before the order is accepted.

The applicable trade delivery charge and availability will be shown at checkout or confirmed in a written quotation before payment.

## 18. Delivery Service and Access

Unless an additional service is expressly included in the order, delivery is:

- To the customer's door or a safe ground-floor entrance.
- Not delivery into a particular room.
- Not assembly, installation, packaging removal or disposal of an old product.

If the building's main accessible entrance is above ground level, delivery can proceed only where a suitable working lift is available and it is safe and lawful to use. Drivers are not required to carry products up internal or external stairs unless a separate written service has been agreed.

Before delivery, you must tell us about anything that could affect access, including:

- Stairs, narrow doors, corridors or lifts.
- Parking, loading, height, weight or time restrictions.
- Road closures, permits, pedestrian zones or difficult approaches.
- Building rules, booking requirements or delivery-time restrictions.
- A very large or heavy order requiring additional people or vehicles.

You are responsible for checking that ordered products will fit through the available access route. We may ask for measurements, photographs or other information before confirming delivery.

Drivers may refuse an unsafe, unlawful or unreasonable delivery instruction. This does not automatically entitle the customer to a free repeat delivery.

## 19. Delivery Appointments, Changes and Failed Delivery

You must ensure that an authorised adult is available at the agreed location and time to receive the goods.

If you request a delivery change with less than **48 hours' notice**, a rebooking or administration fee of **£30 excluding VAT (£36 including VAT at the current standard rate)** may apply. Any additional delivery cost caused by the change will be explained before the new arrangement is confirmed.

If a delivery fails because nobody is available, the address or contact information is incorrect, access was not disclosed, the goods will not fit, the delivery is refused without a lawful reason, or another customer-controlled issue prevents delivery, the customer will normally be required to pay the applicable delivery charge again before redelivery.

An unusually large, multi-vehicle or specialist redelivery may be quoted separately.

These charges will not apply where the failed or changed delivery was caused by us or where charging them would unlawfully restrict a consumer's rights.

## 20. Delivery Inspection and Damage

Please inspect the number and apparent condition of packages when delivery takes place where reasonably possible.

Please report visible delivery damage, missing packages or obvious discrepancies within **48 hours**, with the order number and photographs where available. Prompt reporting helps us investigate with the delivery provider.

The 48-hour request does not remove or reduce statutory rights and does not automatically prevent a valid claim made later.

## 21. Risk and Ownership

For consumers, risk in the goods passes when the goods come into the physical possession of the consumer or a person identified by the consumer to receive them, except where the consumer independently commissions a carrier not offered by us and the law provides otherwise.

For business customers, risk passes on delivery to the agreed location, collection by the customer, or collection by the customer's carrier, whichever applies.

Ownership of goods passes only when we have received full cleared payment for those goods and any directly related charges.

## 22. Free Collection

Free collection may be selected where it is offered for the relevant product or order.

Collection is from the **WF17 8HB** area and must be booked and confirmed in advance. Normal collection availability is **Monday to Thursday, 10:00 am to 5:00 pm**, excluding public holidays and closures, but a specific appointment must be agreed.

The customer must:

- Bring the collection confirmation and suitable identification if requested.
- Use a suitable vehicle with adequate capacity and safe access.
- Bring appropriate restraints, protection and equipment.
- Check the goods and quantities where reasonably possible.
- Secure and transport the products safely after loading.

Staff may provide reasonable loading assistance, but the customer remains responsible for the suitability of the vehicle and for securing the load. Staff may refuse to load goods if the vehicle, equipment, loading method or instruction appears unsafe, unlawful or likely to damage the goods, vehicle or another person.

Risk passes in accordance with Section 21 when the goods are collected.

## 23. Consumer Cancellation and Change-of-Mind Returns

If you are a consumer who buys online, by telephone or by another distance method, you normally have the right to cancel eligible goods without giving a reason.

You must notify us within **14 days after the day you receive the goods**. If an order is delivered in separate parts, the period normally runs from the day after the last relevant part is received.

After notifying us, you must return the eligible goods without undue delay and no later than 14 days after the cancellation notice.

To request a cancellation or return, email **returns@sleepdesignbeds.co.uk** and include your name, order number, contact details, the products concerned and a clear statement that you wish to cancel.

Unless the goods are faulty, misdescribed or incorrectly supplied, the consumer is responsible for the direct cost of returning them. Because beds and mattresses are large, return transport can be substantial. We may offer to arrange collection and tell you the cost before you agree.

You may inspect goods as you would reasonably inspect them in a shop. We may reduce a refund to reflect an actual reduction in value caused by handling beyond what is reasonably necessary to establish the nature, characteristics and functioning of the goods.

For an eligible cancellation, we will refund the price and the cost of our least expensive standard delivery option, where applicable. We do not have to refund the extra cost of a premium delivery option chosen by the consumer.

We may withhold the refund until we receive the goods or you provide evidence that they were returned, whichever occurs first. Refunds will be made within the legally required period, normally no later than 14 days after that event, using the original payment method unless otherwise agreed.

Further instructions are set out in the Returns and Refund Policy.

## 24. Exceptions to Consumer Change-of-Mind Cancellation

The statutory change-of-mind right may not apply to:

- Goods genuinely made to the consumer's specifications or clearly personalised, where the customisation and restriction were identified before purchase.
- Sealed goods that are unsuitable for return for health-protection or hygiene reasons after the seal has been broken.
- Other goods or contracts excluded by applicable law.

An opened or unsealed mattress will be treated as a hygiene exception only where it was supplied with an appropriate hygiene seal and the legal conditions for the exception are satisfied.

These exceptions do not remove rights where goods are faulty, unsafe, misdescribed, incorrectly supplied or otherwise fail to conform to the contract.

## 25. Faulty, Misdescribed or Damaged Goods

Consumers have statutory rights where goods are faulty, not as described, not fit for purpose or otherwise fail to conform to the contract. Depending on the circumstances and timing, remedies may include rejection, repair, replacement, a price reduction or refund.

Nothing in these Terms or our policies restricts those rights.

If there is a problem, contact **returns@sleepdesignbeds.co.uk** promptly with the order number, an explanation and photographs or video where reasonably available. We may ask for a product label or arrange inspection, collection, repair or replacement.

Business customers must inspect goods within a reasonable time and notify us promptly of an alleged defect or discrepancy, without affecting any right that cannot lawfully be excluded.

## 26. Business-Customer Returns

Business customers do not receive consumer change-of-mind cancellation rights.

A business return is accepted only where:

- The goods are faulty, misdescribed or incorrectly supplied and a remedy is due under the contract or applicable law; or
- We agree the return in writing.

Any agreed non-fault business return may be subject to reasonable collection, transport, inspection, handling or loss-in-value charges confirmed before the return is accepted.

Customised goods cannot normally be returned by a business customer unless faulty, misdescribed, incorrectly supplied or otherwise agreed in writing.

## 27. Warranty and Product Guarantee

Eligible beds, mattresses, headboards and bases are covered by the separate five-year commercial Warranty and Product Guarantee, subject to its terms.

Accessories do not receive an additional commercial warranty unless expressly stated. This does not remove statutory rights.

The commercial warranty may exclude matters such as misuse, normal wear, incorrect assembly or storage, accidental damage and natural fabric variation, as explained in the Warranty and Product Guarantee.

A commercial warranty is additional to, and does not replace, rights available under applicable law.

## 28. Promotions and Discount Codes

Promotions and discount codes may have separate eligibility, product, quantity, customer, territory and expiry conditions.

Unless expressly stated:

- Only one promotion or code may be used per order.
- A code cannot be exchanged for cash.
- A code cannot be applied retrospectively.
- Retail promotions cannot be applied to trade pricing, special quotations or draft orders.
- A code may be withdrawn where it has expired, was issued in error, is used fraudulently or the stated conditions are not met.

Nothing in this section permits misleading promotional pricing or affects an already accepted order where the promotion was validly applied.

## 29. Events Outside Our Reasonable Control

We are not responsible for delay or failure caused by events outside our reasonable control, such as severe weather, transport disruption, fire, flood, epidemic, industrial action, utility or network failure, supplier failure, material shortages, government action or restrictions.

We will take reasonable steps to reduce the effect, provide updates and resume performance when reasonably possible.

If a material delay continues, either party may have a right to cancel the affected part of the order. Consumer rights concerning delivery deadlines and refunds remain unaffected.

## 30. Our Liability to Consumers

We do not exclude or limit liability where doing so would be unlawful. This includes liability for:

- Death or personal injury caused by negligence.
- Fraud or fraudulent misrepresentation.
- Breach of statutory rights that cannot be excluded.
- Defective products where liability cannot legally be excluded.

If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of contract or failure to use reasonable care and skill. We are not responsible for losses that were not foreseeable when the contract was made.

Products supplied to consumers are for private use unless a business purpose was expressly agreed. We are not responsible to a consumer for business losses, including lost profit, revenue, business opportunity or business interruption.

## 31. Our Liability to Business Customers

Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of title obligations, or any liability that cannot legally be excluded.

Subject to that statement, for a business customer:

- We will not be liable for indirect or consequential loss.
- We will not be liable for loss of profit, revenue, business, contracts, anticipated savings, goodwill, reputation or business interruption.
- Our total aggregate liability arising from an affected order will not exceed the total price paid or payable for that order.

These limitations apply to the fullest extent permitted by law, whether the claim arises in contract, tort, negligence, breach of statutory duty or otherwise.

## 32. Your Responsibility for Loss

You are responsible for loss reasonably caused by inaccurate information, unauthorised account use, unsafe instructions, undisclosed access restrictions, misuse of products or a material breach of these Terms.

Nothing in this section requires a consumer to compensate us beyond what is lawful and fair, or makes a consumer responsible for loss caused by our breach, negligence or failure to comply with law.

## 33. Intellectual Property

The website and its content, including branding, logos, photographs, text, product information, graphics, layout, software and protected trade-pricing material, are owned by or licensed to Sleep Design Beds LTD and are protected by intellectual-property law.

You may view and print content for personal use or legitimate internal business purchasing. You must not reproduce, distribute, sell, publish, create derivative works from or commercially exploit the content without written permission, except where law permits.

No ownership or licence in our intellectual property is transferred by the sale of a product, creation of an account or issue of a viewing code.

## 34. Privacy and Cookies

Our Privacy Policy explains how we collect, use, share and retain personal information, including information connected with customer accounts, trade applications and viewing-code requests.

Our Cookie Policy and cookie controls explain how cookies and similar technologies are used and how optional consent choices can be managed.

## 35. Third-Party Services and Links

The website may contain links to third-party websites or use services supplied by Shopify, payment providers, delivery providers and other third parties.

We are not responsible for a third-party website that we do not control. Third-party services may have their own terms and privacy policies.

## 36. Ending or Suspending Services

You may stop using the website at any time. Account closure does not automatically cancel an accepted order or remove obligations and rights already accrued.

We may suspend or end access where reasonably necessary because of a breach, fraud, security risk, non-payment, legal requirement or discontinuation of a service.

Sections intended to continue after termination, including payment, liability, intellectual property, privacy, dispute and governing-law provisions, will remain effective.

## 37. Changes to These Terms

We may update these Terms to reflect changes in law, products, services, technology or business practices.

The updated Terms will be published with a new “Last updated” date. Changes will apply to future use and future orders. The terms applying to an already accepted order will not be changed retrospectively unless required by law or agreed with the customer.

## 38. Transfer of Rights

We may transfer our rights and obligations under a contract as part of a genuine business transfer, restructuring or service arrangement, provided this does not reduce a consumer's rights.

You may transfer your rights only where we agree in writing or where applicable law permits. Consumers may still exercise statutory rights without our consent.

## 39. No Waiver

If we do not immediately enforce a right, that does not mean we have waived it. A waiver is effective only for the specific matter for which it is given.

## 40. Severability

If a court or competent authority finds part of these Terms unlawful or unenforceable, the remaining provisions will continue to apply. The affected provision will be treated as modified only to the minimum extent necessary to make it lawful and enforceable.

## 41. Entire Agreement for Business Customers

If you are a business customer, these Terms, the accepted order or quotation and the incorporated policies form the entire agreement concerning the relevant order.

Each party acknowledges that it has not relied on a statement not contained in those documents, except that nothing excludes liability for fraud or fraudulent misrepresentation.

This section does not apply to consumers in a way that restricts legally binding pre-contract information or statutory rights.

## 42. Governing Law and Courts

These Terms and contracts made under them are governed by the law of England and Wales.
